THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of March 12, 2021 (the “Effective Date”) between (a) SILICON VALLEY BANK, a California corporation (“Bank”), and (b) (i) ZOOM TELEPHONICS, INC., a Delaware corporation (“Zoom”), and (ii) MINIM INC., a Delaware corporation (“Minim”, together with Zoom, jointly and severally, individually and collectively, the “Borrower”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank.
