THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into effective as of the 19th day of September, 2024, by and among Peoples Bancorp of North Carolina, Inc., a North Carolina corporation (“Bancorp”), Peoples Bank, a North Carolina chartered commercial bank (the “Bank”) (Bancorp and the Bank are collectively referred to as the “Employer”), and William D. Cable, Sr. (“Executive”).

Cable, Sr., a Key Employee and Executive of the Bank, hereinafter referred to as “the Executive”.

Hooper, a key employee and Executive of the Bank, hereinafter referred to as “the Executive”.
