This engagement letter (the “Agreement”) confirms the terms upon which Teraphysics Corporation (the “Client”) engages SDDCO Brokerage Advisors LLC (“SDDCO-BA”, the “Placement Agent”) and ASMX Investments LLC (“ASMX”). SDDCO-BA is engaged to act as the exclusive Placement Agent to the Client in connection with a Private Placement (as defined below) of securities on behalf of Client (the “Potential Transaction”). ASMX is engaged to act as a Platform Provider – providing a platform on which securities of the Client’s company may be sold. SDDCO-BA and ASMX together comprise the “Financial Adviser,” which client hereby engages upon signing this letter.
