Subject to the terms and conditions of the shares of 9% Preferred Convertible Preferred Stock Shares (the "Convertible Preferred Stock”) described in the Boxx Corporation Offering Circular dated December 16th, 2015 (the "Offering"), I hereby subscribe to purchase the number of shares of 9% Convertible Preferred Stock set forth below for a purchase price of $10.00 USD per share. Enclosed with this subscription agreement is my check (Online “E-Check” or Traditional Papery Check) or money order made payable to "Boxx Corporation" evidencing $10.00 USD for each share of 9% Convertible Preferred Stock Subscribed, subject to a minimum of ONE 9% Preferred Convertible Preferred Stock Share ($10.00 USD).
