THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this "Agreement'') is made as of October 1, 2016 (the "Effective Date"), between GeneSYS ID, Inc. (the "Company"), doing business at 170 South Green Valley Parkway, Suite 300, Henderson, NV 89012 and Mark Basile (the "Employee"), residing in Jericho, NY 11753. The Company and the Employee are sometimes hereinafter referred to individually as a "Party" and together as "Parties." Capitalized terms used in this Agreement but not otherwise defined herein shall have the meaning given to them in Section 12 below.
