THIS AMENDED AND RESTATED AGREEMENT (this "Agreement'') is made as of October 24, 2016 (the "Effective Date"), between GeneSYS ID,Inc. (the "Company"), doing business at 170 South Green Valley Parkway, Suite 300, Henderson, NV 89012 and J. Richard Iler (the "Employee"), residing at 817 Dawson Street, Uhrichsville, OH 44683 . The Company and the Employee are sometimes hereinafter referred to individually as a "Party" and together as "Parties." Capitalized terms used in this Agreement but not otherwise defined herein shall have the meaning given to them in Section 12 below.
