This CREDIT AGREEMENT dated as of August 4, 2023 (this “Agreement”), is entered into among BRIGHT HEALTH GROUP, INC. This WARRANTHOLDERS AGREEMENT is dated as of October 2, 2023, and effective as provided in Section 7.10, by and among Bright Health Group, Inc., a Delaware corporation (together with its successors and assigns, the “Company”), the holders listed on Schedule 1 hereto (together with their Permitted Warrant Transferees, the “Holders”), and any other Person who becomes a party hereto pursuant to Article VII.
