This REORGANIZATION AND STOCK PURCHASE AGREEMENT dated as of April 24, 2024 (this "Agreement") is by and among HP Auto Fund LLP (“HPAF”), HST Global Holdings, LLC (“HGHI”), HST Global, Inc.
