THIS INVESTMENT AGREEMENT (this “Agreement”) is effective as of July 7, 2020 (“Effective Date”), by and among Vantage Data Centers Holdings, LLC, a Delaware limited liability company (“Vantage”), Colony Valhalla Partners I-A Holdings, L.P., a Delaware limited partnership (“Investor 1(a)”), Colony Valhalla Partners I-B Holdings, L.P., a Delaware limited partnership (“Investor 1(b)”), Colony Valhalla Partners II Holdings, L.P., a Delaware limited partnership (“Investor 2”) and CBRE Caledon Valhalla Aggregator Holdings LP, a Delaware limited partnership (“Investor 3” and together with Investor 1(a), Investor 1(b) and Investor 2, the “Investors”).
