This letter will serve as the agreement (the “Agreement”) between AST Fund Solutions, LLC (“AST Fund Solutions”) and Invesco High Income Trust II (“the Fund”), pursuant to which AST Fund Solutions will provide the services set forth below in connection with the Fund’s proposed public tender offer of its Common Shares (the “Offer”). The Offer is currently scheduled to commence on November 1, 2019.

This AMENDMENT AGREEMENT NO. 8 (this "Amendment") is made as of November 16, 2018, by and among INVESCO HIGH INCOME TRUST II, a Delaware statutory trust and a closed-end management investment company (the "Borrower"), the lending institutions listed on the signature pages hereof and referred to as "Banks" in the Credit Agreement (as hereinafter defined) and STATE STREET BANK AND TRUST COMPANY, as agent for itself and the Banks (in such capacity, the "Agent").
