This AGREEMENT AND PLAN OF REORGANIZATION (“Agreement”), is made as of this 5th day of August, 2019, by and between Nationwide Mutual Funds (the “NMF Trust”), a statutory trust created under the laws of the State of Delaware, with its principal place of business at One Nationwide Plaza, 5-02-210, Columbus, OH 43215, with respect to the Nationwide Mellon Disciplined Value Fund (hereinafter the “Acquiring Fund”), a series of the NMF Trust, and BNY Mellon Investment Funds IV, Inc. (formerly known as “The Dreyfus/Laurel Funds, Inc.”) (the “Target Company”), a corporation created under the laws of the State of Maryland, with its principal place of business at 240 Greenwich Street, New York, NY 10286, with respect to the BNY Mellon Disciplined Stock Fund (formerly known as the “Dreyfus Disciplined Stock Fund”) (hereinafter the “Target Fund”), a series of the Target Company.
