This letter (“Agreement”) will confirm our understanding and agreement regarding certain conditions of your employment with Lantronix, Inc. (“Lantronix” or the “Company”), effective as of September 1, 2016 (the “Effective Date”). This Agreement replaces and supersedes paragraphs 5 and 10 of the offer letter between you and Lantronix dated September 8, 2011, as amended on November 13, 2012 (the “Offer Letter”). Except as modified herein, the remaining provisions of the Offer Letter remain in full force and effect.
