This Debt Conversion Agreement (the “Agreement”) is made and entered into this 20 day of April 2018 (the “Effective Date”) between US-China Biomedical Technology, Inc. fka Cloud Security Corporation, a Nevada corporation ("Company") and China Israel Biological Technology Co.
