The Subscription Agreement comprises an exhibit to the Offering Circular dated July 10, 2020, as may be amended (the "Offering Circular"), of Iroquois Valley Farmland REIT, PBC ("Iroquois Valley" or the "Company") in connection with the offering of up to $43,087,726 in common stock of the Company.

This agreement (“Agreement”) establishes the terms by which Iroquois Valley Farmland REIT, PBC (the “Company”) will seek certification/recertification as a B CorporationTM, and B Lab will allow the Company to use certain intellectual property.
