This Asset Purchase Agreement (this "Agreement"), dated as of December 30, 2021 is entered into between Visionful Holding Inc., a Delaware corporation ("Seller"); the Persons who have executed this Agreement on the signature page hereof (the “Stockholders”); Cloudastructure Inc., a Delaware corporation (“Buyer”).
