THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) dated as of December 15, 2021, is entered into by and among King Resources, Inc., a Delaware corporation (“KRFG”), and Powertech Management Limited, a British Virgin Island corporation (“Powertech”), and the shareholders of Powertech listed on Annex A to this Agreement (each, a “Shareholder” and, collectively, the “Shareholders”).
