This agreement (together with exhibits and schedules, the “Agreement”) is entered into by and between Grass QOZF, Inc. (“Issuer”), a Nevada limited liability company, and Rialto Markets LLC., a Delaware Limited Liability Company (“Rialto”) and FINRA registered Broker Dealer in all 50 states and Puerto Rico.
