THIS AGREEMENT, dated _August 16th, 2022, is entered into by and between Telkonet, Inc., a Utah corporation, and its respective current and former parent companies, successors, predecessors, subsidiaries and other affiliated companies as well as any of their respective current and former directors, officers, agents, shareholders, and employees (“Telkonet” or “Company”) and John Srouji (“Executive"). The Company and Executive may be referred to as the "Parties" or the "Party."
