ASSET PURCHASE AGREEMENT, dated as of August 16, 2022, between Prime Dental Labs LLC., a Florida limited liability company (“Seller”); and Costas, Inc. (d/b/a Standard Dental Labs Inc.), a Nevada corporation (“SDL” or the “Acquiror”). The Acquiror and Seller are sometimes individually referred to herein as a “Party”, and collectively as the “Parties”.
