THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) dated as of August 15, 2024, is entered into by and among Marvion Inc., a Nevada corporation (“MVNC”), and United Warehouse Management Corp., a British Virgin Island corporation (“UWMC”), and the shareholders of UWMC listed on Annex A to this Agreement (each, a “Shareholder” and, collectively, the “Shareholders”).
