NOW THEREFORE, the parties mutually agree as follows: 1. Effective as of April 1, 2020, the subadvisory fee rate schedule appearing in Schedule A is hereby deleted in its entirety, and is replaced with the following new subadvisory fee rate schedule: 0.19% on average daily net assets up to $5 billion; 0.185% on average daily net assets over $5 billion.

NOW THEREFORE, the parties mutually agree as follows: 1. The management fee rate schedule appearing in Schedule A is hereby deleted in its entirety and is replaced with the following new management fee rate schedule applicable to PGIM California Muni Income Fund: 0.38% on average daily net assets up to $5 billion; 0.37% on average daily net assets over $5 billion.
