THIS MASTER LOAN AND SECURITY AGREEMENT, dated as of August 20, 2021 (this "Master Agreement"), is between NEXTIER COMPLETION SOLUTIONS INC., a Delaware corporation ("Borrower"), located at 3990 Rogerdale Rd., Houston, Texas 77042, and CATERPILLAR FINANCIAL SERVICES CORPORATION, a Delaware corporation (together with its successors and assigns, "Lender"), located at 2120 West End Avenue, Nashville, Tennessee, 37203. Capitalized terms used in this Master Agreement and the other Transaction Documents without definition, including in their respective preambles and recitals, shall have the meanings provided in Appendix A unless the context clearly requires otherwise; and, unless otherwise specified, all accounting terms used herein and in any other Transaction Document shall be interpreted, all accounting determinations and computations hereunder or thereunder shall be made, and all financial statements required to be delivered hereunder or thereunder shall be prepared in accordance with GA
