This SPLIT­OFF AGREEMENT, dated as of May 29, 2019 (this “Agreement”), is entered into by and among Venture Vanadium Inc., a Nevada corporation (the “Company”), Hui Liu Ping (the “Seller”) and Ian Ilsley (the “Buyer”).
