This AMENDMENT NO. 4, dated as of August 23, 2023 (this “Amendment”), is entered into by and among ACCEL ENTERTAINMENT LLC, a Delaware limited liability company (the “Borrower”), ACCEL ENTERTAINMENT, INC. a Delaware corporation (“Holdings”), the other Guarantors (as defined in the Existing Credit Agreement described below) party hereto, the Lenders (as defined below) party hereto and CAPITAL ONE, NATIONAL ASSOCIATION as administrative agent (in such capacity, the “Administrative Agent”), collateral agent, an Issuing Bank and the Swing Line Lender under the Existing Credit Agreement (as defined below), and effective as of the Effective Date (as defined below).
