THIS SECOND AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT OF BRIGHTSPIRE CAPITAL OPERATING COMPANY, LLC, a Delaware limited liability company (the “Company”), dated as of June 24, 2021, is entered into by and among (i) BrightSpire Capital, Inc., a Maryland corporation (“BrightSpire Capital”), and (ii) each other Person who as of, and at any time after, the date hereof is or becomes a Member of the Company in accordance with the terms of this Agreement and the Act.
