THIS AGREEMENT AND PLAN OF SHARE EXCHANGE (hereinafter referred to as the “Agreement”), is entered into as of this ___ day of January, 2020, by and among, Remaro Group Corp., a Nevada corporation (“Remaro”), Boomer Natural Wellness, Inc., a Nevada corporation and principal stockholder of Remaro (the “Majority Shareholder”), Boomer Naturals Holdings, Inc., Inc., a Nevada corporation (“Boomer”) and Boomer Naturals, Inc., a Delaware corporation and sole stockholder of Boomer (the “Boomer Shareholders”). (Remaro, Boomer, and the Boomer Shareholders are sometimes hereinafter collectively referred to as the “Parties” and individually as a “Party”).
