This Second Amendment to Promissory Note (this “Amendment”) is entered into as of July 20, 2020, by and between ILIAD RESEARCH AND TRADING, L.P., a Utah limited partnership (“Lender”), and GBT TECHNOLOGIES INC. (f/k/a Gopher Protocol, Inc.), a Nevada corporation (“Borrower”). Capitalized terms used in this Amendment without definition shall have the meanings given to them in the Note (as defined below).
