THE MEMBERSHIP INTERESTS OF THE COMPANY SUBJECT TO THIS SUBSCRIPTION AGREEMENT ARE SECURITIES WHICH HAVE NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED (THE “ACT”). THE UNITED STATES SECURITIES AND EXCHANGE COMMISSION (THE “SEC”) DOES NOT PASS UPON THE MERITS OF OR GIVE ITS APPROVAL TO ANY SECURITIES OFFERED OR THE TERMS OF THE OFFERING, NOR DOES IT PASS UPON THE ACCURACY OR COMPLETENESS OF ANY OFFERING CIRCULAR OR OTHER SELLING LITERATURE. THE SEC HAS NOT MADE AN INDEPENDENT DETERMINATION THAT THE SECURITIES ARE EXEMPT FROM REGISTRATION. THESE SECURITIES ARE OFFERED PURSUANT TO AN EXEMPTION FROM REGISTRATION WITH THE SEC. THE SEC HAS NOT MADE AN INDEPENDENT DETERMINATION THAT THIS INVESTMENT INVOLVES A DEGREE OF RISK THAT MAY NOT BE SUITABLE FOR ALL PERSONS. This Limited Liability Company Operating Agreement (the “Agreement”) of LK Secured Lending Reg A Fund, LLC, a California limited liability company (the “Company” or “Fund”), is by and among LK Advisors, Inc., a California corporation (the “Initial Member” or “Manager”), and each additional Person who becomes a Member in accordance with the provisions of this Agreement. Any capitalized terms used herein but not defined herein shall have the meaning ascribed to them in the Offering Circular dated November 4, 2020, as amended from time to time (the "Offering Circular").

made as of this 17th day of November, 2020, between StartEngine Assets, LLC (“StartEngine”), a Delaware limited liability corporation, and LK Advisors, Inc. (the “Company”) as the investment advisor to LK Secured Lending Reg A Fund (the “Fund”), to provide administrative and technology services to the Fund’s proposed offering under Regulation A (“Reg A+”) under the Securities Act of 1933, as amended (the “Securities Act”) (the “Offering”) of its common or preferred stock (the “Securities”).
