This Fifth Amendment to Promissory Note (this “Amendment”) is entered into as of August 19, 2021, by and between Iliad Research and Trading, L.P., a Utah limited partnership (“Lender”), and GBT Technologies Inc. (f/k/a Gopher Protocol, Inc.), a Nevada corporation (“Borrower”). Capitalized terms used in this Amendment without definition shall have the meanings given to them in the Note (as defined below).
