This Agreement and Plan of Reorganization (“Agreement”) is made as of September 8, 2023 by and between The MainStay Funds, a Massachusetts business trust(“MSF”), on behalf of its series, the MainStay MacKay International Equity Fund (the “Acquired Fund”), and MainStay Funds Trust, a Delaware statutory trust (“MFT”), on behalf of its series, the MainStay PineStone International Equity Fund (the “Acquiring Fund” and, together with the Acquired Fund, the “Funds”).
