WHEREAS, JPMorgan Chase Bank, N.A. (“J.P. Morgan”) and Massachusetts Financial Services Company d/b/a MFS Investment Management, and each of its affiliates or funds listed as a party to the agreements listed in Section 1 below (hereinafter collectively referred to as “MFS” for ease of reference), are parties to each of the valid and binding agreements listed in Section 1 below, together with any amendments thereto (hereinafter collectively referred to as the “Agreements” for ease of reference); and
