This Confidential Settlement and License Agreement ("Agreement") is entered into December 9, 2022, (the "Effective Date") by and between Shure Incorporated, an Illinois corporation having a principal place of business located at 5800 W. Touhy Ave., Niles, Illinois 60714 ("Shure"), and ClearOne, Inc., a Delaware corporation having a principal place of business located at 5225 Wiley Post Way, Suite 500, Salt Lake City, UT 84116 ("ClearOne").
