BETWEEN: First Phosphate Corp (First Phosphate), a private company, incorporated under the Companies Act of British Columbia, having its principal place of business at 1055 West Georgia Street, 1500 Royal Centre, P.O. Box 11117, Vancouver, British Columbia, V6E 4N7, represented by Mr. John Passalacqua, Chief Executive Officer, duly authorized to enter into this Agreement on behalf of First Phosphate Corp.
