This Separation and Release of Claims Agreement (as may be amended, the “Agreement”) constitutes a binding agreement between Prakesh Patel (“Executive”), an individual, and the Company (as defined in the next paragraph), effective as of the Effective Date (as defined below). Executive and the Company are collectively referred to as the “Parties” or individually referred to as a “Party.”
