This SECURITIES PURCHASE AGREEMENT, dated as of October 21th, 2019 (this "Agreement") is entered into by and among Video River Networks, Inc. a Nevada Corporation and public company traded under the symbol NIHK on the OTC Markets (the "Shareholder"), and Community Economic Development Capital LLC (the "Purchaser"). The parties, intending to be legally bound, hereby agree as follows:
