This FIFTH AMENDED AND RESTATED LIMITED PARTNERSHIP AGREEMENT (this “Partnership Agreement”) of CIM Opportunity Zone Fund, L.P., a Delaware limited partnership (the “Partnership”), is made on March 18, 2024, by and among CIM Opportunity Zone Fund GP, LLC, a Delaware limited liability company, as the general partner of the Partnership, the Limited Partners (as defined herein) hereto, and those additional parties that shall be admitted as Limited Partners.
