THIS ESCROW AGREEMENT, effective as of 2/13/2019, (“Escrow Agreement”) is by, between and among North Capital Private Securities Corporation, a Delaware Corporation and a registered Broker- Dealer, member FINRA and SIPC, located at 623 E. Ft. Union Blvd, Suite 101, Salt Lake City, UT 84047 (“NCPS”) as escrow agent hereunder (“NCPS” or “Escrow Agent”); HotelierCo LLC, a Delaware limited liability company located at 2100 Powers Ferry Road S.E., Suite 370, Atlanta, Georgia 30339 (“Platform”); and HCo Cape May LLC, a Delaware limited liability company located at 2100 Powers Ferry Road S.E., Suite 370, Atlanta, Georgia 30339 (“Issuer”).

NCPS is not, and in its agreements with the Dealers NCPS will require that the Dealers agree that they are not, authorized or permitted to give, and will not give, and, any information or make any representation (written or oral) concerning the Shares except as set forth in the Offering Circular as amended and supplemented or in the Authorized Sales Materials. NCPS agrees, and in its agreements with the Dealers will require that the Dealers agree, that the Offering Circular as amended and supplemented will be available to each investor to whom an offer is made prior to or simultaneously with the first solicitation of an offer to sell the Shares to an investor.
