This Distribution Agreement (this “Agreement”), dated as of April 18, 2023, is made by and among CIM Real Assets & Credit Fund, a Delaware statutory trust (the “Fund”), CIM Capital IC Management, LLC, a Delaware limited liability company (the “Advisor”), and Northern Lights Distributors, LLC, a limited liability company organized under the laws of the state of Nebraska (“Distributor”), and will become effective as of June 9, 2023, or such other date as may be mutually agreed among the Fund, the Advisor and Distributor.

Northern Lights Distributors, LLC (the “Distributor”) serves as the principal underwriter of CIM Real Assets and Credit Fund (the “Fund”) a closed-end investment company, shares of which are distributed by Distributor at their respective net asset values plus sales charges as applicable, pursuant to a written agreement (the “Distribution Agreement”). Distributor invites you (the “Company”) to participate as a non-exclusive agent in the distribution of shares of the Fund upon the following terms and conditions:

The undersigned, CIM Real Assets & Credit Fund (the “Company”), a Delaware statutory trust, is conducting a continuous offering (the “Offering”) of its common shares of beneficial interest (collectively, the “Shares”). The Company desires for CCO Capital, LLC, a Delaware limited liability company (the “Dealer Manager” or “you”), to act as its Dealer Manager in connection with the offer and sales of the Shares to the public in the Offering. This Master Services Agreement (this “Agreement”), dated as of March 30 , 2023, is between CIM Real Assets & Credit Fund (the “Fund”), a Delaware statutory trust, and Ultimus Fund Solutions, LLC (“Ultimus”), a limited liability company organized under the laws of the state of Ohio, and will become effective as of June 9, 2023, or such other date as may be mutually agreed between the Fund and Ultimus (the “Agreement Effective Date”).
