This SHARE EXCHANGE AGREEMENT (this “Agreement”) is entered into by and between XEME Biopharma Holdings Inc. (previously Acqusalut Inc.) a Florida corporation (the “Company,” “the Registrant,” or “XBH”), XEME Biopharma Inc., a corporation incorporated in the State of Delaware (“XEME”) and the selling stockholders of XEME, R2T Biopharma Inc., a corporation incorporated in the State of California (“R2T”) which are made a party hereto (each, an “XEME Shareholder” and together with XEME and the Company, the “Parties” and each, a “Party”) to be effective concurrently with the time and date amended articles of incorporation (“AOC”) of XBH is filed to change its previous name to the new name and also change the stock structure of the company.
