THIS FIRST AMENDMENT TO CREDIT AGREEMENT (this “Agreement”) is entered into as of February 24, 2021, by and among SELECTQUOTE, INC., a Delaware corporation, as the Borrower, the other Credit Parties party hereto, the Consenting Lenders (as defined below), the New Lenders (as defined below) and MORGAN STANLEY CAPITAL ADMINISTRATORS, INC. (in its individual capacity, “MSCA”), as Administrative Agent for the Lenders.
