This CREDIT AGREEMENT (including all exhibits and schedules hereto, as amended by that certain First Amendment to Credit Agreement, dated as of February 24, 2021, that certain Second Amendment to Credit Agreement, dated as of November 2, 2021, that certain Third Amendment to Credit Agreement, dated as of December 23, 2021, and as amended by that certain Successor Agent Agreement, dated as of February 24, 2022 (“Successor Agent Agreement”), as amended by that certain Fourth Amendment to Credit Agreement, dated as of August 26, 2022 and as the same may be amended, restated, amended and restated or otherwise modified from time to time, this “Agreement”) is entered into as of November 5, 2019, by and among SelectQuote, Inc., a Delaware corporation (the “Borrower”), the other Persons party hereto that are designated as a “Credit Party”, Wilmington Trust, National Association (in its individual capacity, “Wilmington Trust”), as Administrative Agent for the several financial institutions from
