This EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of September 30, 2024 (the “Effective Date”), by and between TOI Management, LLC, a Delaware limited liability company (the “Company”), and Rob Carter (the “Executive”). The Company and the Executive may be referred to together as the “Parties” and individually as a “Party.” Capitalized terms used herein and not otherwise defined herein shall have the meanings set forth in Section 21.
