This Director Restricted Shares Award Agreement – Founders Award (the “Agreement”), by and between Jackson Financial Inc. (the “Company”), and the director whose name is set forth on Exhibit A hereto (the “Director”), is being entered into pursuant to the Jackson Financial Inc. 2021 Omnibus Incentive Plan (the “Plan”) and is dated as of the date it is accepted and agreed to by the Director in accordance with Section 6(n).
