This STOCK PURCHASE AGREEMENT (this “Agreement”) is entered into as of August 12, 2023, by and among Mondee, Inc., a Delaware corporation (“Mondee”), Mondee Acquisition Company, Inc., a Delaware corporation (“MAC” and, together with Mondee, the “Buyers”), Mondee Holdings, Inc., a Delaware corporation (“Holdings”), Victor Abraham, an individual, Sherly Abraham, an individual (each a “Seller” and collectively, the “Sellers”) and Skypass Travel Private Limited, a private limited company incorporated under the laws of India (“Skypass India”).
