THIS AGREEMENT, made by and between EA Series Trust, a Delaware statutory trust (the “Trust”), on behalf of the fund or funds listed on Schedule A attached hereto (individually, a “Fund,” and collectively, the “Funds”) , and Empowered Funds, LLC, a Pennsylvania limited liability company (the “Adviser”) effective as of June 17, 2022 (the “Effective Date”).

This Sub-Advisory Agreement (the “Agreement”) is made as of June 17, 2022, by and between Empowered Funds, LLC dba EA Advisers, a Pennsylvania limited liability company with its principal place of business at 19 E. Eagle Road, Havertown, PA 19083 doing business as EA Advisers (the “Adviser”), EA Series Trust (the “Trust”), and Argent Capital Management, LLC, a Delaware Limited Liability Company with its principal place of business located at 100 South Brentwood Blvd, Suite 110, St Louis, MO 63105 (the “Sub-Adviser”).
