This Definitive Share Exchange Agreement (“Agreement”), dated as of November 1, 2022, is among Chengzhao International Holdings LTD. (“CIHL”), a BVI company, Jiang, Min, the sole shareholder of CIHL (the “Shareholder”), SIPP International Industries, Inc., a Nevada corporation (“SIPN”), Jiang, Min (“Min”), the chief executive officer of SIPN. Collectively, the Shareholder, CIHL, SIPN, and Min are the “Parties.”
