THIS SUBSCRIPTION AGENT AGREEMENT (the “Agreement”) is entered into as of this 27th day of August 2024 (the “Effective Date”) by and among Gabelli Utility Trust, a company organized and existing under the laws of the State of Delaware (the "Company"), Computershare Inc. (“Computershare”) a Delaware corporation and its fully owned subsidiary Computershare Trust Company, N.A., a national banking association (the “Trust Company” and together with Computershare, the “Agent”).

This engagement agreement (“Agreement”) confirms our understanding that The Gabelli Utility Trust (the “Company” or “you”) has engaged Sodali & Co (“Sodali” or “we” or “us”) (each a “Party” and collectively the “Parties”) to provide the services described below. This Agreement is effective on August 26, 2024 and shall continue until terminated by one or both of the Parties according to the terms herein.
