This Agreement and Plan of Reorganization (“Agreement”) is made as of October 25, 2024, by and between Guggenheim Funds Trust (the “Acquired Fund Trust”), a Delaware statutory trust, on behalf of its series, Guggenheim Large Cap Value Fund (the “Acquired Fund”), and New Age Alpha Funds Trust (the “Acquiring Fund Trust”), a Delaware statutory trust, on behalf of its series, NAA Large Cap Value Fund (the “Acquiring Fund” and, together with the Acquired Fund, the “Funds”). New Age Alpha Advisors, LLC (the “Acquiring Fund Adviser”), a Delaware limited liability company, joins this Agreement solely for purposes of paragraphs 5.13 and 8.2; and Security Investors, LLC (the “Acquired Fund Adviser”), a Kansas limited liability company, joins this Agreement solely for purposes of paragraph 8.2.
