This CONTINGENT PURCHASE AGREEMENT (this “Agreement”) is dated as of the date countersigned below (the “Effective Date”) and is by and between RHOVE REAL ESTATE 1, LLC – HONOKEA WAVE PARK (KAPOLEI) SERIES, a Delaware series limited liability company (“Purchaser”), and HONOKEA KALAELOA, LLC, a Delaware limited liability company (the “Issuer”).
