THIS PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of December 13, 2024 (the “Effective Date”), is made and entered into by and between MOODY NATIONAL LANCASTER-AUSTIN HOLDING, LLC, a Delaware limited liability company, and MOODY NATIONAL LANCASTER-AUSTIN MT, LLC, a Delaware limited liability company (collectively, “Seller”), and MCR HOTEL ACQUISITIONS LLC, a Delaware limited liability company (“Purchaser”).
